These Terms of Service (“Terms”) govern your access to and use of the services provided by CareBridge RCM LLC (“CareBridge,” “we,” “our,” or “us”), including our website and any related medical billing, coding, credentialing, and revenue cycle management services (“Services”). By using our website or engaging with our Services, you agree to these Terms in full.

1. Use of Services
You agree to use our website and Services only for lawful purposes and in compliance with all applicable healthcare regulations, including HIPAA, CMS, and federal or state laws. You may not misuse, disrupt, or attempt unauthorized access to any part of our systems or data.

2. Scope of Services
CareBridge provides medical billing and coding, credentialing, and healthcare revenue cycle management services. Each client relationship is governed by a separate service agreement outlining the specific scope, deliverables, and payment terms. These Terms supplement, but do not override, the service agreement.

3. Client Responsibilities
Clients are responsible for providing accurate and timely information, documentation, and access necessary for service delivery. Delays or errors resulting from inaccurate or incomplete information are not the responsibility of CareBridge. Clients must maintain secure access to their portals and communications with us.

4. Confidentiality and Data Security
Both parties agree to maintain strict confidentiality of all sensitive information, including Protected Health Information (PHI), financial data, and business information. CareBridge follows HIPAA-compliant standards and employs technical, administrative, and physical safeguards to protect client data.

5. Payments and Fees
Fees for services will be defined in the service agreement. Clients agree to pay invoices in accordance with those terms. Failure to pay on time may result in late fees, service suspension, or contract termination.

6. Intellectual Property
All content, materials, logos, and systems developed by or on behalf of CareBridge remain the sole property of CareBridge RCM LLC. Clients may not copy, modify, or distribute any content without prior written consent.

7. Disclaimers
CareBridge provides services based on client-submitted information and documentation. We are not liable for denials, errors, or legal consequences stemming from inaccurate or non-compliant data provided by the client. We do not offer legal or medical advice.

8. Limitation of Liability
To the fullest extent permitted by law, CareBridge RCM LLC shall not be liable for indirect, incidental, special, or consequential damages. Our total liability in connection with any claim will not exceed the total fees paid by the client in the three months preceding the claim.

9. Termination
Either party may terminate services with notice as defined in the service agreement. Upon termination, all outstanding obligations, including final billing, confidentiality, and data security clauses, will remain in effect.

10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of [Insert State, e.g., Delaware], without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of that state.

11. Modifications to Terms
CareBridge reserves the right to update these Terms at any time. Updated versions will be posted on our website with the new effective date. Continued use of our Services after any changes means you accept the new Terms.
